By using the Services you represent that you meet these requirements and have the authority to enter into this Agreement for yourself or the entity you represent.

1.3 Changes. We may change this Agreement from time to time. Except for changes made for legal or administrative reasons, we will give reasonable advance notice before changes take effect. Changes apply to your use of the Services from their effective date. Your continued use after that date means you accept the changes. Please check this page regularly.

2. Access and Accounts

2.1 Changes to the Services. The Services may change as we add or refine features. We may modify, withdraw or discontinue the Services, in whole or in part, at any time. We are not liable to you or anyone else if the Services are unavailable for any period.

2.2 Creating an account. You may need to register for an account to use certain Services. You agree to provide accurate, complete and current information. Information you provide is governed by our Privacy Policy at https://amplifi-marketing.com/privacy-policy.

2.3 Account responsibilities. You are responsible for keeping your password and account secure and for all activity under your account. Do not share your login or transfer your account without our written permission. Tell us immediately if you suspect unauthorized use. You are liable for losses we or others incur because someone else used your account because of your failure to protect it.

2.4 Suspension. We may suspend or terminate your account at any time if we determine you have violated this Agreement.

3.3 Geographic limits. The Company is based in Missouri, USA. The Services are for use by people located in the United States. If you access them from elsewhere, you are responsible for complying with local law.

4. Orders, Quotes and Payment

4.1 How ordering works. Most print, apparel and promotional product orders follow these steps: (a) you submit a quote request; (b) we send a quote; (c) you approve the quote and any proof; (d) you pay; (e) we produce and deliver the order. A quote request is not an order. An order is placed when you approve the quote and we receive payment or any required deposit. Quotes are valid for the period stated in the quote, and prices may change after that.

4.2 Artwork and proofs. You provide the artwork for your order. Low-resolution or poorly prepared artwork may print poorly, and we will tell you if we see a problem but are not responsible for the result. Where we provide a proof, your approval confirms that you have checked spelling, layout, colors, sizes and placement. We are not responsible for errors in artwork or proofs you approved.

4.3 Lead time and delivery dates. Please allow 14 days from the date your order is placed. Dates are estimates, not guarantees. Delays caused by late artwork or approvals, supplier stock-outs, carriers or events beyond our control may extend them. Tell us your needed-by date when you request your quote and we will say whether we can meet it.

4.4 Color and quantity. Printed and embroidered colors may differ from what you see on a screen, in a catalog photo, or from one production run or garment dye lot to another. Quantities delivered may be over or under the quantity ordered by up to 10%. You are billed for the quantity delivered.

4.5 Changes and cancellations. You may request changes or cancel an order until you approve your proof or, if there is no proof, until production starts. After that, custom and personalized items cannot be changed or cancelled because production has begun and the items cannot be resold.

4.6 Defects, misprints and returns. Custom and personalized items cannot be returned because you changed your mind. If an item is defective or does not match the proof you approved, tell us within 7 days of delivery and include photos. For affected items we will reprint, replace or refund, at our choice. We are not responsible for errors in approved proofs or in your artwork, or for color variance within normal industry tolerances.

4.7 Shipping, pickup and risk of loss. Shipping charges are stated in your quote. Risk of loss passes to you when we hand the order to the carrier or when you pick it up.

4.8 Prices, taxes and payment. You will be told all prices, taxes and fees before you pay, including any delivery costs and any deposit. Payments are processed by third-party payment services; we do not collect or store your card details and only receive confirmation that payment succeeded. If payment fails or is refused, we have no obligation to fulfill the order. Costs resulting from a failed or refused payment are yours.

4.9 Ownership until paid. You do not acquire any rights in the products or Services you order until we receive the full price.

5. Recurring Services

5.1 Subscriptions. If you buy a subscription, it begins when we receive payment and continues for the term you chose. You must pay recurring fees on time; failure to do so may interrupt the Services.

5.2 Automatic renewal. Subscriptions renew automatically for a period equal to the original term, using the payment method you chose, unless you cancel before renewal. We will send a reminder with reasonable advance notice that explains how to cancel.

5.3 Cancellation. You may cancel at any time by sending us a clear written notice at [email protected] or using any cancellation control we provide. Cancellation takes effect at the end of the current billing period. Fixed-term subscriptions cannot be ended early and end when the term expires.

6. Intellectual Property in the Services

6.1 Our rights. The Services, including the Website, its text, graphics, designs, logos, software and layout (the "Company Content"), are owned by the Company or its licensors and are protected by copyright, trademark and other laws. Except as this Agreement allows, you may not copy, modify, distribute, sell, display, or create derivative works from Company Content without our written permission.

6.2 Limited license to you. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own business purposes, subject to this Agreement. All rights not expressly granted are reserved.

6.3 Trademarks. "Amplifi Marketing" and our logos are our trademarks. Do not use them without our written permission. Other names and logos on the Website belong to their owners.

7. Your Content and Artwork

7.1 Your content. "Your Content" means artwork, logos, text, photos, files and other materials you submit to us, upload through the Services, or give us for an order. You keep ownership of Your Content.

7.2 License to fulfill your order. You grant us a non-exclusive, royalty-free license to use, reproduce, adapt and display Your Content as needed to quote, produce, deliver and support your order and to provide the Services to you. With your written permission, we may also show finished work in our portfolio or marketing. We will not use Your Content for any other purpose without your permission.

7.3 Your promises about Your Content. You promise that you own Your Content or have all rights needed to use it and to give us the license in Section 7.2, and that it does not infringe or violate any third party's rights. This includes copyright, trademark, publicity and privacy rights. If your order includes team, school, league, celebrity, brand or other licensed names or logos, you are responsible for having permission to reproduce them.

7.4 Our right to refuse. We may decline, pause or cancel any order or remove any content that we believe, in our reasonable judgment, infringes rights, violates the law, or breaches the standards in Section 7.5. If we cancel an order for that reason before production, we will refund amounts you paid for it. Production costs already incurred for custom work may be deducted to the extent allowed by law.

7.5 Content standards. Your Content must not: be unlawful, threatening, defamatory, obscene, harassing or hateful; infringe anyone's intellectual property or privacy rights; contain malware; promote illegal activity; or be misleading or deceptive. You are responsible for Your Content and for any loss we suffer because of it.

8. Copyright Complaints (DMCA)

We respect intellectual property rights. If you believe material on the Services infringes your copyright, send a written notice to [email protected]. Your notice must include: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim is infringed; (c) identification of the material you claim is infringing and where it is located, with enough detail for us to find it; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent or the law; and (f) a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner. We may remove allegedly infringing material and end the accounts of repeat infringers. If you believe material was removed by mistake, you may send us a counter-notice with the information required by 17 U.S.C. § 512(g).

9. Feedback

If you send us comments, ideas or suggestions about the Services ("Feedback"), you grant us a non-exclusive, perpetual, worldwide, royalty-free license to use them without payment or obligation to you. Feedback does not include Your Content.

10. Information Is General

The content on the Services is for general information. It is not legal, financial, tax or other professional advice. We do not guarantee that any marketing, SEO, social media, advertising or automation work will produce a particular ranking, traffic, lead, sales or revenue result. Results depend on many factors outside our control, including platform and search-engine changes.

11. Privacy

Our Privacy Policy at https://amplifi-marketing.com/privacy-policy explains how we collect, use and protect personal information, and is part of this Agreement. By using the Services you agree to it. If you give us personal information about other people (for example, your customers or employees), you promise that you have the right to do so and that they have been given any notice required by law.

12. Artificial Intelligence Features

12.1 What this covers. Some of our Services use artificial intelligence, such as chat assistants, voice agents, content drafting, summaries and workflow automation ("AI Features"). This Section applies to AI Features in addition to the rest of this Agreement.

12.2 You are responsible for how you use outputs. AI Features can produce inaccurate, incomplete or inappropriate results. Review outputs before you rely on them or publish them. AI Features are not legal, medical, financial, insurance or other professional advice, and you should not use them as the sole basis for decisions that significantly affect people. Because AI outputs may not be unique, similar outputs may be given to other users.

12.3 Ownership of outputs. As between you and us, and subject to the rights of third parties and to your payment of applicable fees, you own the outputs we generate specifically for you. We may use any other content, designs and tools we own to deliver them.

12.4 Your data and training. We do not use Your Content, your customer or order information, or your artwork to train or improve generally available AI models, and we do not allow our AI service providers to do so, without your permission. We may use de-identified, aggregated information that cannot reasonably be linked to you or any individual to operate and improve the Services.

12.5 Regulated and sensitive uses. You are responsible for making sure your use of AI Features, including recorded or transcribed calls, text messaging and automated decisions, complies with the law that applies to you. This includes consent, disclosure and recording laws and rules for your industry. Do not use AI Features to make decisions about eligibility for credit, insurance, employment, housing, or legal rights without appropriate human review.

12.6 Prohibited AI uses. Do not use AI Features to deceive people, impersonate individuals, create unlawful or harmful content, violate anyone's rights, or evade the safeguards of the Services.

12.7 Third-party AI providers. AI Features may be powered by third-party providers. Their availability and performance may change, and we may change providers. We are not responsible for failures of third-party AI services beyond our reasonable control.

13. Termination

You may stop using the Services at any time. We may suspend or end your access at any time, with or without notice, if we believe you have violated this Agreement or the law, or if we stop offering the Services. Sections that by their nature should survive termination will survive, including Sections 4.9, 6, 7, 14, 15, 16, 17 and 18. Termination does not cancel amounts you already owe. If we end your access without cause, we will refund prepaid fees for Services you did not receive.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT THEY WILL PRODUCE ANY PARTICULAR RESULT. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you. Nothing in this Agreement limits any warranty that cannot be limited under applicable law.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM AROSE. These limits do not apply to liability that cannot be limited by law, such as liability for fraud or willful misconduct.

16. Indemnification

You agree to defend, indemnify and hold harmless the Company and its owners, officers, employees and contractors from claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your breach of this Agreement; (c) your violation of any law or third-party right; or (d) your use of the Services. We will tell you promptly about any claim we want you to cover, and you may not settle a claim in a way that imposes obligations on us without our written consent.

17. Governing Law and Disputes

17.1 Governing law. This Agreement is governed by the laws of the State of Missouri, without regard to conflict-of-law rules.

17.2 Informal resolution first. Before starting any formal proceeding, you agree to contact us at [email protected] and try to resolve the dispute informally for at least 30 days.

17.3 Binding arbitration. If we cannot resolve a dispute informally, it will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its rules in effect at the time. The arbitration will take place in Kansas City, Missouri, or remotely by agreement, and will be decided by one arbitrator. Judgment on the award may be entered in any court with jurisdiction. Either of us may bring an individual claim in small-claims court instead of arbitration, and either of us may seek emergency court relief to protect intellectual property or confidential information.

17.4 Class-action waiver. To the extent permitted by law, disputes will be brought only on an individual basis. Neither of us may bring or take part in a class, collective or representative action.

17.5 Costs. Each side pays its own attorneys' fees and costs, except that an arbitrator may award them to the prevailing party where the law or the arbitration rules allow it. Arbitration filing and administrative fees will be allocated under the AAA rules.

17.6 Time limit. To the extent permitted by law, any claim must be filed within one year after it arose, or it is permanently barred.

18. General Terms

18.1 Entire agreement. This Agreement, together with the Privacy Policy and any written quote, order or statement of work we agree to, is the entire agreement between us on its subject. If they conflict, the written quote or order controls for that order.

18.2 Severability and waiver. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver of it.

18.3 Assignment. You may not assign this Agreement without our written consent. We may assign it as part of a merger, sale of assets or reorganization.

18.4 Force majeure. Neither of us is liable for delay or failure caused by events beyond reasonable control, such as natural disasters, supplier or carrier failures, utility or internet outages, labor disputes or government action. This does not excuse payment obligations.

18.5 Notices. We may give notice by email, by posting on the Website, or by mail to the address you gave us. You may give notice to us at [email protected].

19. Text Messaging

We do not currently send text messages. If we begin offering text messaging, we will update this Agreement and our Privacy Policy with full SMS terms and will ask for your consent before we send you any text message.

20. Security and Availability

We use reasonable administrative, technical and physical safeguards to protect information, but no system is completely secure and we cannot guarantee the security of information you send us. We work to keep the Services available, but we do not guarantee uninterrupted availability, and the Services may be unavailable for maintenance or for reasons outside our control. Refunds, replacements and cancellations for orders are governed by Section 4.
